TERMS OF ENGAGEMENT
Healing Space Online Ltd trading as Bloom Through Life
These Terms of Engagement set out the basis on which Healing Space Online Ltd, trading as Bloom Through Life, provides services to you.
Please read these Terms carefully before booking or purchasing a Service.
By booking an appointment, purchasing a Service or programme, or otherwise instructing us to provide Services, you agree to these Terms together with any Engagement Letter, booking confirmation, programme information or other written terms provided to you.
Nothing in these Terms affects any statutory rights which cannot lawfully be excluded or limited.
1. DEFINITIONS
In these Terms:
“Agreement” means the agreement between you and us comprising these Terms of Engagement together with any Engagement Letter, booking confirmation, programme description or other written terms relating to the Service purchased.
“Client”, “you” and “your” mean the person purchasing, booking or receiving the Services or, where appropriate, the parent or person with parental responsibility booking a permitted Service on behalf of a child.
“Engagement Letter” means any Client Engagement Letter or other written confirmation provided by us setting out the particular Services, fees or arrangements agreed with you.
“Services” means the services provided by us, which may include homeopathy, health and wellbeing support, coaching, relationship coaching, breakup and divorce coaching, EFT, reflexology, group programmes, workshops, mentoring, educational services and other services described in an Engagement Letter, booking confirmation, programme description or on our Website.
“we”, “us” and “our” mean Healing Space Online Ltd trading as Bloom Through Life and, where appropriate, any practitioner, therapist, coach, employee or subcontractor providing Services on its behalf.
“Website” means www.bloomthroughlife.com, as updated from time to time.
2. NATURE AND SCOPE OF OUR SERVICES
The precise nature and scope of the Services provided to you will depend upon the Service you have booked or purchased.
Our work takes an individualised and holistic approach and may explore physical health, emotional wellbeing, stress, lifestyle, relationships, past experiences and patterns of behaviour where these are relevant to the Service being provided.
Different Services have different purposes and professional boundaries.
Where we provide health and wellbeing services, including homeopathy, EFT or reflexology, these are intended to complement rather than replace appropriate conventional healthcare.
Where we provide coaching, including relationship, breakup or divorce coaching, the purpose is to support you to understand your circumstances, explore your options, identify patterns, clarify your needs and values and make your own informed decisions.
Coaching is not psychotherapy, counselling, medical treatment, legal advice or financial advice.
We may provide general information and practical support concerning relationships, separation, divorce, communication, co-parenting and related matters, but we do not provide legal or financial advice.
You should obtain advice from an appropriately qualified medical, mental health, legal, financial or other professional whenever this is necessary for your circumstances.
We reserve the right to decline to provide a Service where we reasonably believe that the Service is not appropriate for your needs or falls outside our professional scope.
3. RELATIONSHIP, BREAKUP AND DIVORCE COACHING
Our role is to support you to understand your circumstances and make your own decisions.
We do not make decisions on your behalf and do not instruct or require you to remain in or leave a relationship, separate, reconcile or divorce.
The ultimate responsibility for any decision concerning your relationship, family, separation, divorce, finances, children or future remains with you.
Where appropriate, we may recommend that you obtain specialist advice or support from a solicitor, mediator, financial adviser, counsellor, psychotherapist, domestic abuse organisation, safeguarding professional or other suitably qualified professional.
Divorce and relationship coaching is intended to work alongside, and not replace, appropriate professional legal or financial advice.
4. HEALTH AND WELLBEING SERVICES
Our health and wellbeing Services are intended to complement and not replace your relationship with your GP, consultant, specialist or other appropriately qualified healthcare professional.
You remain responsible for seeking appropriate medical assessment, diagnosis and treatment.
You should inform us of relevant health conditions, diagnoses, medication, treatment, pregnancy and significant changes in your physical or emotional health where these may be relevant to the Service being provided.
You must not discontinue, alter or reduce prescribed medication or medical treatment on the basis of information provided by us without first discussing this with the healthcare professional responsible for prescribing or managing that treatment.
If you have symptoms which may require medical investigation, we may recommend that you contact your GP or another appropriate healthcare professional.
No outcome, improvement, recovery or particular result can be guaranteed.
5. CLIENT RESPONSIBILITIES
For us to provide Services appropriately, you agree to:
a. provide information which is accurate and complete to the best of your knowledge;
b. inform us of information which may materially affect the Services;
c. take responsibility for your own choices, actions and decisions;
d. seek appropriately qualified medical, legal, financial, mental health or other specialist advice where necessary;
e. tell us if you do not understand information provided to you or if you have concerns about any aspect of the Service;
f. attend appointments at the agreed time and comply with applicable booking and cancellation arrangements; and
g. treat us, other practitioners and, where applicable, other programme participants respectfully.
Our ability to provide appropriate support depends upon the information you provide to us.
6. Age and Capacity
Unless otherwise agreed, Clients receiving coaching Services must be at least 18 years old and have the capacity to provide informed consent.
Certain health and wellbeing Services may be provided to a person under 18 where we consider the Service appropriate and the necessary consent has been obtained from a parent or person with parental responsibility.
Additional consent, confidentiality or safeguarding considerations may apply when Services are provided to children or young people.
We reserve the right to decline or discontinue Services where we do not consider that appropriate consent or safeguarding arrangements are in place.
7. BOOKINGS AND FORMATION OF THE AGREEMENT
You may be required to complete a consultation, intake or other information form before your first appointment.
By booking an appointment or purchasing a Service, you confirm that you are entering into this Agreement voluntarily and that the information you provide is, to the best of your knowledge, accurate.
Your booking will normally be confirmed by email or through our online booking system.
The Agreement between you and us takes effect when we accept your booking or purchase.
When booking an online appointment, you are responsible for checking that the booking system displays the correct time zone for your location.
8. EMERGENCIES, CRISIS SUPPORT AND SAFEGUARDING
Bloom Through Life is not an emergency, crisis, medical emergency or domestic abuse response service.
If you or another person is in immediate danger, you should contact the appropriate emergency service. In the UK, call 999 in an emergency or NHS 111 where appropriate for urgent medical advice.
Where we believe that specialist medical, mental health, safeguarding, domestic abuse or other support may be appropriate, we may recommend or encourage you to contact an appropriate service or professional.
Our confidentiality obligations are subject to the exceptions set out in the Confidentiality section below.
9. FEES AND PAYMENT
Fees will be confirmed at the time of booking or set out in your Engagement Letter, invoice, booking confirmation or programme information.
Unless otherwise agreed, individual consultations must be paid for in advance.
Retainer fees are payable at the beginning of each calendar month unless otherwise agreed in writing.
UK Clients may pay by bank transfer where offered. Other payment methods, including Stripe, may be available as specified on your invoice or booking information.
Services may be suspended where payment has not been received when due.
10. PROGRAMMES, PACKAGES AND BLOCKS OF SESSIONS
Where you purchase a programme, package or block of sessions, you are purchasing the programme or package as a whole rather than purchasing each individual session separately.
Subject to any statutory cancellation rights which apply, by entering into the Agreement you agree that:
a. the full programme or package fee is payable regardless of your attendance, completion or decision to stop participating;
b. instalment payments are a payment arrangement for the total programme or package fee and are not payments for individual sessions;
c. instalments must be paid on the dates agreed;
d. failure to attend or use an included session does not automatically entitle you to a refund or reduction in the programme fee; and
e. unused sessions cannot be transferred to another person unless we agree otherwise in writing.
Where a programme, package or block of sessions has a specified duration or expiry date, all included sessions must normally be used within that period.
Unused sessions remaining after the applicable period may expire unless otherwise agreed by us in writing.
11. PAYMENT PLANS AND MISSED PAYMENTS
Where we agree that a programme or package may be paid for by instalments, you remain responsible for payment of the full agreed fee.
If an instalment is missed, delayed, cancelled or otherwise remains unpaid, we may:
a. suspend Services until payment is brought up to date;
b. withdraw access to programme materials, sessions or online areas where appropriate;
c. require the outstanding balance to become immediately payable where permitted under the Agreement and applicable law; and/or
d. take reasonable steps to recover amounts properly due to us.
You may also be responsible for reasonable costs incurred in recovering an outstanding debt where permitted by law.
12. CONSUMER CANCELLATION RIGHTS
Depending upon the circumstances in which you purchase a Service, you may have statutory cancellation rights under UK consumer law.
Nothing in this Agreement removes or restricts any statutory right which cannot legally be excluded.
Where you ask us to begin providing a Service during any applicable statutory cancellation period, your statutory rights and any amount payable for Services already provided will be determined in accordance with applicable consumer law.
Any statutory cancellation right is separate from our appointment cancellation policy below.
13. APPOINTMENT CANCELLATIONS AND RESCHEDULING
You may cancel or reschedule an individual appointment by giving us at least 24 hours' notice by an agreed communication method, including email, text or WhatsApp where appropriate.
Appointments cancelled with less than 24 hours' notice are normally charged in full and no refund will be provided.
Failure to attend an appointment without giving the required notice will normally result in the full appointment fee being charged.
Appointments start and finish at the booked times. If you arrive late, the session may still proceed but may be shorter and the full fee will remain payable.
We reserve the right to exercise reasonable discretion in exceptional circumstances.
14. CANCELLATION OR RESCHEDULING BY US
If we are unable to provide an appointment, we will give you as much notice as reasonably possible.
We will normally offer to reschedule the appointment.
Where we cancel an individual appointment and are unable to provide a reasonable alternative, any fee paid specifically for that appointment will be refunded where appropriate.
Where we discontinue a prepaid programme or package before providing all Services and the discontinuation is not caused by your breach of this Agreement, we will deal fairly with any prepaid but unprovided Services, subject to the nature of the programme and applicable consumer law.
15. ONLINE CONSULTATIONS AND TECHNICAL DIFFICULTIES
Online Services depend upon internet connections and third-party technology.
If technical difficulties occur, we will make reasonable attempts to continue the appointment using an alternative agreed method where appropriate.
If a session cannot reasonably continue because of a technical failure caused by our systems or resources, we will normally reschedule the affected part of the appointment without additional charge.
Where the failure results from your equipment, internet connection or other circumstances outside our reasonable control, the normal appointment fee may remain payable.
16. BETWEEN-SESSION COMMUNICATION
Unless expressly included within the Service purchased, email, text and WhatsApp communication between appointments is intended primarily for administrative purposes and brief matters relating to your work with us.
Messaging is not an emergency or crisis service and should not be relied upon for urgent support.
Where ongoing or between-session support is included within a package or programme, the scope of that support and any applicable communication arrangements will be explained as part of the Service.
We do not guarantee an immediate response to messages.
17. GROUP PROGRAMMES AND GROUP SERVICES
Where you participate in a group programme, workshop or other group Service, you agree to respect the privacy and confidentiality of other participants.
You must not disclose, reproduce, publish or share personal information, stories or contributions made by another participant without that person's express permission.
You must not record group sessions without our prior written permission and, where relevant, the consent of other participants.
While we require participants to respect confidentiality, we cannot guarantee that another participant will comply with these obligations. You should therefore exercise appropriate discretion when sharing personal or sensitive information within a group setting.
We reserve the right to remove a participant from a group where their conduct is abusive, discriminatory, threatening, seriously disruptive or compromises the safety, privacy or wellbeing of other participants.
Removal from a programme because of serious misconduct will not automatically entitle the participant to a refund.
18. CONFIDENTIALITY
Information disclosed during individual consultations will be treated as confidential and handled with appropriate care.
We will not normally disclose information about you to another person without your permission.
However, confidentiality is not absolute.
We may disclose information where:
a. you have given us permission to do so;
b. disclosure is required by law, regulation, court order or another legally binding obligation;
c. we reasonably believe that disclosure is necessary because there is a serious or immediate risk of harm to you or another person;
d. safeguarding concerns arise in relation to a child or vulnerable person and disclosure is reasonably considered necessary or required;
e. disclosure is necessary for the establishment, exercise or defence of legal claims; or
f. information is appropriately discussed as part of professional supervision, consultation or regulatory requirements, subject to appropriate confidentiality arrangements.
Where appropriate and lawful, we will endeavour to discuss a proposed disclosure with you before making it.
19. EMAIL, MESSAGING AND ONLINE COMMUNICATION
We take reasonable precautions to protect your privacy when communicating by email, telephone, video call, online platform, text message, WhatsApp or similar technologies.
However, electronic communications and internet-based services cannot be guaranteed to be completely secure.
By choosing to communicate with us using these methods, you acknowledge the inherent risks associated with electronic communication.
20. DATA PROTECTION AND CLIENT RECORDS
We process personal information in accordance with applicable UK data protection legislation.
Because of the nature of our Services, information you provide may include health information and other sensitive or special category personal data.
Information will be processed and stored in accordance with our Privacy Policy, which is available on our Website or on request.
We will retain appropriate consultation notes and Client records securely.
Unless a different retention period is required by law, regulation, insurance or professional requirements, adult Client records will normally be retained for seven years following the last appointment.
Records relating to children will normally be retained for at least seven years after the child reaches the age of 18, subject to any longer period required by applicable professional, insurance or legal obligations.
Records will subsequently be securely destroyed or deleted when appropriate.
21. RECORDINGS
Individual consultations may not be audio recorded, video recorded, photographed, transcribed using automated software or otherwise captured by a Client without our prior written agreement.
Group sessions must not be recorded by participants unless we have expressly authorised recording and appropriate consent has been obtained.
If we propose to record a session, workshop, programme or other Service, we will explain the intended use and obtain any consent required before doing so.
22. INTELLECTUAL PROPERTY
All intellectual property rights in materials provided as part of our Services remain the property of Healing Space Online Ltd, Bloom Through Life or the relevant rights holder.
This includes, where applicable, The BLOOM Framework®, programme content, course materials, worksheets, exercises, presentations, videos, recordings, written resources, graphics, methods and other original materials.
Materials are provided for your own personal use unless we expressly agree otherwise in writing.
You must not copy, reproduce, publish, distribute, sell, licence, teach, adapt, upload, commercially exploit or provide our materials to another person without prior written permission, except where permitted by law.
Purchase of a Service does not transfer ownership of our intellectual property to you.
23. NO GUARANTEE OF OUTCOMES
Health, wellbeing, relationships, coaching and personal development are individual in nature.
We do not guarantee that you will achieve a particular health, emotional, relationship, financial, professional or other outcome as a result of using our Services.
Testimonials, examples and previous Client experiences do not constitute a guarantee that you will achieve the same or similar results.
You remain responsible for decisions and actions you take following or during the Services.
24. THIRD-PARTY SERVICES AND WEBSITES
Our Website or Services may refer or link to third-party websites, professionals, organisations, resources or services.
Any such referral or link is provided for information or convenience and does not constitute a guarantee or warranty concerning that third party.
Unless expressly stated otherwise, we are not responsible for the availability, accuracy, actions, services or content of independent third parties.
You remain responsible for deciding whether to engage any third-party professional or service.
25. LIMITATION OF LIABILITY
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including any liability which cannot legally be excluded or restricted.
Subject to the above and to the fullest extent permitted by law, we will not be liable for indirect or consequential loss arising from the provision of the Services.
Where liability can lawfully be limited, our total liability arising from a particular Service will not exceed the fees paid by you for the Service giving rise to the claim, except where a different limitation is required by law.
Where loss results partly from your own actions or omissions or those of another person, our liability will be limited to the extent that is fair and reasonable having regard to the respective responsibility of each party.
Advice or support provided to you is intended for you in relation to the particular circumstances for which the Service was provided and should not be relied upon by another person or for a materially different purpose.
26. PROFESSIONAL REFERRALS AND WORKING WITH OTHER PROFESSIONALS
We may recommend that you obtain support or advice from another professional where we consider that this would be beneficial or where an issue falls outside our professional scope.
With your permission, we may communicate with another professional involved in your care or support where appropriate.
Any professional to whom you are independently referred is responsible for their own advice and services.
27. TERMINATION
You may choose to stop receiving Services at any time, subject to your payment obligations under any programme, package, retainer or other commitment you have entered into and any applicable statutory rights.
We may suspend or terminate Services where reasonably necessary, including where:
a. fees remain unpaid;
b. you seriously or repeatedly breach these Terms;
c. your behaviour towards us, another practitioner or another participant is abusive, threatening or inappropriate;
d. continuing the Service would create a conflict of interest or professional concern;
e. the Service is no longer appropriate for your needs or falls outside our professional scope; or
f. we are unable to continue providing the Service for another reasonable professional or operational reason.
Where appropriate, we will give reasonable notice and may recommend alternative professional support.
Any financial consequences of termination will depend upon the reason for termination, Services already provided, the Agreement relating to the particular Service and applicable consumer law.
28. COMPLAINTS
If you are unhappy with any aspect of the Services, please raise the matter with us as soon as reasonably possible so that we have an opportunity to understand and address your concerns.
Complaints should be submitted in writing to the contact details provided in your Engagement Letter or on our Website.
We will aim to deal with complaints fairly and within a reasonable period.
Nothing in this complaints procedure affects your statutory rights.
29. CHANGES TO THESE TERMS
We may update these Terms from time to time.
Changes will apply to future bookings and purchases from the date the revised Terms are published or otherwise communicated.
Where a change materially affects an existing ongoing programme or Agreement, we will notify affected Clients where reasonably appropriate.
30. SEVERABILITY
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be treated as modified or removed to the minimum extent necessary.
The remaining provisions will continue in force.
31. ENTIRE AGREEMENT
These Terms, together with the Engagement Letter, booking confirmation and any specific written terms applicable to the Service purchased, constitute the Agreement between you and us in relation to that Service.
If there is a conflict between these Terms and expressly agreed individual terms contained in an Engagement Letter, the Engagement Letter will take precedence in relation to that specific Service unless otherwise stated.
32. GOVERNING LAW AND JURISDICTION
This Agreement and any dispute or claim arising out of or in connection with it, including non-contractual disputes or claims, will be governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction, subject to any mandatory consumer rights concerning jurisdiction which apply.
ACCEPTANCE
By booking, purchasing or using our Services, you confirm that you have read and understood these Terms of Engagement and agree to be bound by them.
